1. Agreement to Terms

By accessing, purchasing, subscribing to, or using Apex BrandU, you agree to be bound by these Terms and Conditions, our Privacy Policy, and any additional policies or notices posted within the platform. If you do not agree to these Terms, you should not use Apex BrandU.

Apex BrandU is operated as a solution of Apex Hustle Systems. References to “Apex BrandU,” “we,” “us,” or “our” refer to Apex BrandU, Apex Hustle Systems, and any authorized representatives, contractors, service providers, or affiliated entities involved in providing the service.

2. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account, purchase a subscription, or use Apex BrandU. By using the platform, you represent that you have the legal authority to enter into this agreement.

If you use Apex BrandU on behalf of a business, organization, agency, client, or other entity, you represent that you have authority to bind that entity to these Terms.

3. Platform Purpose

Apex BrandU provides brand-building, marketing, content, training, automation, and AI-assisted tools designed to help users build and manage their online presence. The platform may include educational resources, AI-generated suggestions, templates, workflows, dashboards, affiliate or referral features, and other tools intended to support business growth.

Apex BrandU does not guarantee specific business outcomes, revenue, audience growth, lead generation, conversion rates, rankings, sales, or financial results. Your results depend on many factors including your offer, execution, market, consistency, compliance, and customer demand.

4. Account Registration and Security

To access certain features, you may be required to create an account, purchase a subscription, or complete an onboarding process. You agree to provide accurate, current, and complete information and to update that information when necessary.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately if you believe your account has been accessed without permission.

We reserve the right to suspend or terminate accounts that contain inaccurate information, violate these Terms, abuse the platform, attempt to bypass payment, or present a security, legal, reputational, or operational risk.

5. Subscriptions, Billing, and Payments

Apex BrandU may offer paid subscription plans, one-time purchases, upgrades, trials, promotional offers, or other paid services. By purchasing or subscribing, you authorize us and our payment processors to charge your selected payment method for the applicable fees, taxes, renewals, and other charges associated with your plan.

Subscription fees are billed according to the plan selected at checkout. Unless canceled before the renewal date, subscriptions may renew automatically. You are responsible for managing your subscription and ensuring your payment information remains valid.

We use third-party payment processors, such as Stripe, to process payments. We do not store full credit card numbers on our servers. Your payment information may be subject to the terms, privacy policies, and security practices of the payment processor.

6. Cancellations and Refunds

You may cancel your subscription according to the cancellation options made available in your account, billing portal, or by contacting support. Cancellation stops future billing but does not automatically entitle you to a refund for previous charges.

Unless expressly stated in a separate written refund policy, checkout page, promotional offer, or written agreement, payments are non-refundable. We may, at our sole discretion, issue refunds, credits, or account adjustments on a case-by-case basis.

If your payment fails, your account may be suspended, downgraded, or restricted until payment is successfully completed. We may attempt to reprocess failed payments as permitted by law and payment processor rules.

7. Acceptable Use

You agree to use Apex BrandU lawfully, ethically, and in accordance with these Terms. You may not use the platform to create, upload, publish, distribute, promote, or assist with content or activity that:

• Violates any applicable law, regulation, contract, or third-party right.
• Infringes copyrights, trademarks, privacy rights, publicity rights, or intellectual property rights.
• Contains illegal, deceptive, fraudulent, harmful, abusive, defamatory, harassing, or threatening material.
• Promotes scams, fake earnings claims, misleading testimonials, or deceptive marketing practices.
• Contains malware, spyware, viruses, malicious scripts, credential harvesting, or unauthorized tracking.
• Attempts to bypass platform limits, security controls, payment requirements, or access restrictions.
• Uses bots, scraping, automation, or reverse engineering except where expressly authorized.
• Uploads sensitive personal data without proper consent, authorization, and legal basis.
• Impersonates another person, business, brand, public figure, or entity without permission.
• Interferes with platform stability, performance, security, or other users’ experience.

We reserve the right to remove content, restrict access, suspend accounts, or terminate users who violate this Acceptable Use section.

8. User Content

You retain ownership of the content you upload, submit, create, or publish through Apex BrandU, including text, graphics, brand assets, business information, prompts, files, campaigns, and other materials.

By using the platform, you grant us a limited, non-exclusive, worldwide license to host, process, display, store, transmit, modify, and use your content solely as necessary to provide, maintain, secure, improve, and support the platform.

You are solely responsible for your content, including its legality, accuracy, originality, permissions, claims, disclosures, compliance, and suitability for publication.

9. AI-Generated Content

Apex BrandU may include AI-assisted features that generate, suggest, rewrite, analyze, organize, or recommend content. AI-generated outputs may be incomplete, inaccurate, outdated, offensive, non-compliant, repetitive, or unsuitable for your intended use.

You are responsible for reviewing, editing, fact-checking, and approving all AI-generated content before publishing, relying on, sending, selling, or distributing it. You should not treat AI output as legal, financial, medical, tax, investment, or professional advice.

You are responsible for ensuring that content generated or assisted by Apex BrandU complies with advertising laws, platform policies, intellectual property rules, industry regulations, disclosure requirements, and any promises made to your customers or audience.

10. Marketing, Earnings, and Business Results

Apex BrandU may provide marketing education, branding guidance, content templates, funnels, scripts, automation concepts, affiliate tools, or business growth resources. These resources are provided for educational and operational purposes only.

We do not guarantee that you will earn money, gain followers, close clients, increase revenue, improve rankings, generate leads, or achieve any specific business outcome. Any examples, testimonials, case studies, income references, or performance metrics are illustrative only and should not be interpreted as typical, guaranteed, or promised results.

You are responsible for your own business decisions, advertising claims, pricing, offers, legal compliance, customer service, fulfillment, taxes, and financial outcomes.

11. Affiliate, Referral, and Promotional Features

Apex BrandU may include affiliate, referral, tracking, promotional, or commission-related features. Participation in any such program may be subject to additional terms, approval requirements, payout thresholds, verification procedures, fraud prevention checks, and compliance obligations.

You may not use misleading claims, fake scarcity, spam, unauthorized brand names, paid traffic that violates platform policies, cookie stuffing, self-referrals, fraudulent transactions, or any deceptive method to generate referrals, commissions, or promotional credit.

We may withhold, reverse, deny, delay, or adjust referral credit, commissions, or promotional benefits if we believe activity is fraudulent, abusive, self-referred, refunded, charged back, non-compliant, or otherwise inconsistent with the intent of the program.

12. Intellectual Property

Apex BrandU, Apex Hustle Systems, and all related platform designs, software, workflows, training materials, templates, logos, branding, page layouts, systems, copy, code, dashboards, and proprietary content are owned by us or our licensors and are protected by intellectual property laws.

You may not copy, resell, sublicense, distribute, reverse engineer, reproduce, scrape, clone, modify, or create competing products from Apex BrandU materials unless we give you written permission.

Subject to your compliance with these Terms and payment obligations, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use Apex BrandU for your personal or business use.

13. Third-Party Services

Apex BrandU may integrate with or link to third-party services, tools, APIs, websites, payment processors, hosting providers, analytics platforms, email services, social platforms, AI providers, or external resources.

We are not responsible for third-party services, their availability, security, accuracy, pricing, policies, decisions, outages, content, or actions. Your use of third-party services may be governed by their own terms and privacy policies.

14. Platform Availability and Changes

We aim to provide reliable access to Apex BrandU, but we do not guarantee uninterrupted, error-free, or permanent availability. The platform may experience downtime, maintenance, bugs, data delays, feature changes, provider outages, or interruptions outside our control.

We may modify, update, suspend, remove, replace, limit, or discontinue any feature, plan, pricing structure, content, integration, or part of the platform at any time. We are not liable for changes, interruptions, or discontinuation of the service.

15. Data, Privacy, and Security

Your use of Apex BrandU is also governed by our Privacy Policy. By using the platform, you consent to the collection, processing, storage, and use of information as described in that policy.

We use reasonable administrative, technical, and organizational safeguards designed to protect platform data. However, no system is completely secure. You acknowledge that you use the platform at your own risk and are responsible for maintaining backups of important business content.

16. Confidentiality

You may receive access to non-public platform information, business systems, training materials, pricing, strategies, software, templates, or other confidential information. You agree not to disclose, resell, publish, distribute, or misuse confidential information without written permission.

17. Disclaimers

Apex BrandU is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, reliability, and course of performance.

We do not warrant that the platform will meet your requirements, produce specific results, remain uninterrupted, be error-free, be secure, or that any defects will be corrected.

18. Limitation of Liability

To the fullest extent permitted by law, Apex BrandU, Apex Hustle Systems, and their owners, officers, employees, contractors, affiliates, service providers, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, loss of goodwill, business interruption, advertising loss, customer loss, or damages arising from your use of or inability to use the platform.

To the fullest extent permitted by law, our total liability for any claim related to the platform will not exceed the amount you paid to Apex BrandU for the service during the three months immediately preceding the event giving rise to the claim, or one hundred dollars, whichever is greater.

19. Indemnification

You agree to defend, indemnify, and hold harmless Apex BrandU, Apex Hustle Systems, and their owners, officers, employees, contractors, affiliates, service providers, and licensors from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, arising from or related to:

• Your use or misuse of Apex BrandU.
• Your content, campaigns, offers, products, services, or customer interactions.
• Your violation of these Terms.
• Your violation of any law, regulation, third-party right, or platform policy.
• Your advertising, marketing, earnings claims, testimonials, or promotional activity.
• Your use of AI-generated content or third-party services.

20. Suspension and Termination

We may suspend, restrict, or terminate your account at any time if we believe you have violated these Terms, failed to pay required fees, created legal risk, harmed the platform, abused other users, misused affiliate or referral systems, or engaged in activity that may damage Apex BrandU or Apex Hustle Systems.

Upon termination, your right to access the platform will stop immediately. We may delete, retain, restrict, or export account data according to our policies, legal obligations, operational needs, and technical capabilities.

21. Chargebacks and Payment Disputes

If you initiate a chargeback or payment dispute without first contacting us to resolve the issue, we may suspend or terminate your account, revoke access to paid features, dispute the chargeback, and provide relevant account, login, usage, checkout, and billing records to the payment processor.

Fraudulent or abusive chargebacks may result in permanent account restriction and denial of future service.

22. Communications

By creating an account, purchasing, or using Apex BrandU, you agree that we may send you transactional, administrative, billing, security, onboarding, support, and service-related communications. You may also receive promotional communications where permitted by law and subject to available opt-out options.

23. Governing Law

These Terms are governed by the laws applicable to the business location and operations of Apex Hustle Systems, without regard to conflict of law principles, unless a different governing law is required by applicable consumer protection law.

Any disputes must be handled in a court or forum with proper jurisdiction, unless otherwise required by law or agreed in writing.

24. Changes to These Terms

We may update these Terms from time to time. When we do, we may revise the “Last Updated” date above. Continued use of Apex BrandU after changes become effective means you accept the updated Terms.

If a change is material, we may provide notice through the platform, email, checkout page, dashboard, or another reasonable method.
